LLCs

Every Delaware LLC must designate a registered agent with a physical street address in Delaware on its Certificate of Formation. The registered agent may be an individual Delaware resident or a business entity authorized to transact business in Delaware; however, if the LLC itself is physically located in Delaware, it may act as its own registered agent. Foreign LLCs must also designate a Delaware registered agent on the Certificate of Registration.

Corporations

A domestic stock corporation files a Certificate of Incorporation that includes a required registered agent designation with the agent’s name and Delaware street address. Non-stock corporations (both for-profit non-stock and exempt nonprofit) use separate Certificate of Incorporation templates. Nonprofit Corporations

Limited Liability Limited Partnerships

Changing a Delaware Registered Agent or Registered Office (Filed by Entity)

Delaware provides separate entity-filed change-of-agent forms for each entity type. The corporation form is a Certificate of Change of Registered Agent and/or Registered Office. LLCs, LPs, and LLPs each use a Certificate of Amendment Changing Only the Registered Office/Agent specific to that entity type. All forms require the new agent’s name and Delaware street address. Changing a Delaware Registered Agent’s Own Name or Address (Filed by Agent)

Delaware provides blanket change forms that allow a registered agent to update its own name or address across all entities it represents in a single filing. The corporation blanket change form covers all corporations the agent serves, and a separate blanket change form covers all LLCs. These forms are filed and signed by the registered agent, not by the individual entities. The fee for the corporation blanket change is $169 plus municipality fees per corporation if agents are located in different municipalities; the fee for the LLC blanket change is $240 plus municipality fees per LLC if agents are located in different municipalities.

Registered Agent Resignation Forms in Delaware

Delaware offers two types of agent resignation: resignation coupled with appointment of a successor agent, and resignation without appointment of a successor. A resignation with appointment takes effect immediately upon filing. A resignation without appointment costs $2 per entity but requires that the agent give written notice to the entity at least 30 days before filing. Delaware publishes entity-specific forms for both types. Filing methods are the same as described above.

All resignation-without-appointment forms require the agent to certify that written notice of resignation was provided at least 30 days before filing and that the last-known contact information for the entity has been submitted to the Secretary of State.

Reinstatement Forms Requiring Registered Agent Information in Delaware

Delaware uses different terminology depending on the entity type and reason for forfeiture: corporations file a “Revival” (for voided corporations or forfeited corporations); LLCs file a “Revival”; and foreign corporations file a “Reinstatement.” All forms contain a registered agent designation field requiring the agent’s name and Delaware street address. Is the registered agent consent form required to be filed with the Delaware Secretary of State?

Delaware does not use a standalone registered agent consent form. Instead, the agent’s consent is demonstrated through the filing itself — the entity lists the agent’s name and address on the formation or change-of-agent document, and the agent’s acceptance is presumed when the agent allows the filing to proceed.

Delaware law does require that every entity maintain a registered agent in the state. If an entity names an agent without the agent’s knowledge or consent, the agent may file a resignation with the Division of Corporations. Unlike some states, Delaware formation forms do not include an agent signature line for acceptance of appointment.

What form is used to change a registered agent in Delaware?

What is the difference between the entity-filed change form and the agent-filed change form in Delaware?

The entity-filed change form (Certificate of Change of Agent or Certificate of Amendment Changing Only the Agent) is signed by an authorized officer, partner, or person of the entity and replaces the current agent with a new one. Each entity must file its own separate document.

The agent-filed blanket change form (Certificate of Blanket Change of Name or Address) is signed by the registered agent and updates the agent’s own name or address across all entities the agent represents in a single filing. The corporation blanket change costs $169 plus municipality fees per corporation if agents are in different municipalities, and the LLC blanket change costs $240 plus municipality fees per LLC if agents are in different municipalities. The blanket form cannot be used to appoint a different agent — it only updates the filing agent’s own information.

Is there a fee to form a nonprofit corporation in Delaware?

The filing fee for a domestic exempt (nonprofit) corporation Certificate of Incorporation is $109. What forms are used to register an out-of-state LLC in Delaware?

A foreign LLC registers in Delaware by filing a Certificate of Registration of Foreign Limited Liability Company with a filing fee of $200. The form requires designation of a Delaware registered agent with a physical street address. A Certificate of Existence dated within six months prior to filing must accompany the registration.

Annual taxes of $300 are due by June 1 following the close of the calendar year in which registration is filed. Delaware does not distinguish between standard foreign LLCs and foreign professional LLCs or foreign series LLCs on the registration form.
